These Terms of Service (“Terms”) govern your use of www.lumendalabs.com (the “Site”) and any purchase from LUMENDA LABS LLC (“Lumenda Labs,” “we,” “us”). By using the Site or placing an order, you agree to these Terms. If you don’t agree, don’t use the Site or buy from us.

1. Eligibility

You must be at least 18 years old and able to enter a binding contract. Our products are sold for commercial use. By ordering, you confirm you are buying for business purposes.

2. Products and Descriptions

We sell smart vending machines, coolers and related equipment made by third-party manufacturers. We work to describe products accurately. However, specifications, images, dimensions and features come from the manufacturers and may change without notice. Colors and finishes may differ from what you see on screen.

3. Pricing and Payment

All prices are in U.S. dollars.
Freight to the contiguous U.S. is included as described in our Shipping Policy.
Applicable sales taxes are added at checkout.
Payment is due in full before an order ships.
We may correct pricing or listing errors at any time. If we find an error after you order, we’ll contact you and give you the choice to proceed at the correct price or cancel for a full refund.

4. Orders and Acceptance

Your order is an offer to buy. We accept it when we confirm shipment, not when you receive an order confirmation email. We may refuse or cancel any order, including for suspected fraud, stock unavailability or listing errors. If we cancel, we’ll refund any payment in full.

5. Shipping and Delivery

Shipping, delivery, inspection and freight-damage claims are covered by our Shipping Policy, which is part of these Terms. Risk of loss passes to you on delivery.

6. Returns

All sales are final. Lumenda Labs does not accept returns or provide refunds for equipment, accessories, replacement parts, software, or services once an order has been placed and shipped.
Please review your order carefully before completing your purchase. If you have questions about product selection, our team is happy to assist you prior to ordering.

7. Warranty

Products are covered only by the manufacturer’s warranty, if one applies. We’ll help you submit warranty claims to the manufacturer.

EXCEPT FOR THE MANUFACTURER’S WARRANTY, PRODUCTS ARE SOLD “AS IS.” TO THE FULLEST EXTENT PERMITTED BY LAW, LUMENDA LABS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. No Earnings Guarantee

Lumenda Labs sells equipment. We don’t sell a business opportunity, franchise or income program.

Any operator stories, revenue examples, case studies or projections on our Site, videos or social media are illustrations only. They are not typical results and are not a promise of what you will earn.

Results depend on location, product selection, pricing, local demand, your own effort and factors outside our control. You may earn no profit or lose money. Do your own research and get independent financial and legal advice before starting a vending business.

9. Software, Connectivity and Third-Party Services

Smart machines may depend on third-party software, apps, payment processors, cellular networks or cloud platforms. We don’t control these services and aren’t responsible for their availability, fees, data handling or changes. You must comply with their terms.

10. Installation, Placement and Compliance

You are responsible for:

choosing locations and getting property-owner permission
obtaining any required permits, licenses and inspections
ensuring proper electrical supply
complying with health, food-safety, tax, accessibility and other laws that apply to your vending operations

11. Limitation of Liability

To the fullest extent permitted by law:

Lumenda Labs is not liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost revenue, spoiled inventory, business interruption or loss of data.
Our total liability for any claim related to a product or these Terms will not exceed the amount you paid for that product.

12. Indemnification

You agree to indemnify and hold harmless Lumenda Labs and its owners, employees and agents from claims, damages and expenses (including reasonable legal fees) arising from:

your use or operation of the products,
your vending business, or
your violation of these Terms or any law.

13. Intellectual Property

All Site content, including text, graphics, logos, videos and images, belongs to Lumenda Labs or its licensors. You may not copy, reproduce or distribute it without our written permission. Manufacturer names and trademarks belong to their respective owners.

14. Acceptable Use

You agree not to:

use the Site for unlawful purposes
interfere with its operation
attempt unauthorized access
scrape content
submit false information

15. Third-Party Links

The Site may link to third-party websites. We don’t control them and aren’t responsible for their content or practices.

16. Privacy

Our handling of your personal information is described in our [Privacy Policy].

17. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Middlesex, New Jersey, and you consent to their jurisdiction.

18. Changes to These Terms

We may update these Terms at any time by posting the revised version on the Site. Changes apply to orders placed after the update.

19. General

If any part of these Terms is found unenforceable, the rest remains in effect.
These Terms, together with our Shipping Policy and Privacy Policy, are the entire agreement between you and us about your use of the Site and your purchases.
Our failure to enforce any provision is not a waiver of it.
